These used car purchase terms and conditions ("Terms") govern all retail vehicle transactions with Northwest Motors ("Dealer," "we," or "our") in Mundelein, Illinois. By paying a deposit, signing any document, or taking delivery, the customer ("Buyer") agrees these Terms form a binding part of the Retail Buyer's Order / Bill of Sale. These Terms are intended to be legally enforceable and fully compliant with state and federal law.

A. Legal Basis & Definitions

1) Applicability and Agreement Formation

These Terms apply to all retail vehicle purchases, trades, or financing arrangements with Dealer. By executing any purchase or finance document, Buyer confirms agreement and full understanding of all provisions herein.

2) Governing Law & Venue

Illinois law governs these Terms. Venue lies exclusively in Lake County, Illinois, unless otherwise resolved through binding arbitration.

3) Entire Agreement & No Oral Modifications

These Terms, the Buyer's Order, and related finance or warranty documents constitute the full agreement. No verbal statement modifies this contract; any change must be in writing and signed by Dealer management.

4) Definitions

"Dealer" refers to Northwest Motors. "Buyer" means the individual or entity purchasing a vehicle. "Vehicle" includes the automobile and any optional products or services purchased in the same transaction.

B. Regulatory Compliance

5) Statutory Compliance

Dealer complies with the Illinois Consumer Fraud Act (815 ILCS 505), Illinois Motor Vehicle Retail Installment Sales Act (815 ILCS 375), the FTC Used Car Rule (16 CFR 455), Illinois Vehicle Code, UCC Articles 2 & 9, Truth in Lending Act (15 U.S.C. §1601), Equal Credit Opportunity Act (Reg B), Truth in Odometer Act (49 U.S.C. §32705), and applicable E-SIGN/UETA standards.

6) FTC Buyer's Guide / Powertrain Warranty

Buyer acknowledges receipt of the FTC Buyer's Guide. All used vehicles are sold "AS-IS" unless stated otherwise. Eligible vehicles under 8 model years and 150,000 miles include the Illinois 15-Day/500-Mile Limited Powertrain Warranty (815 ILCS 505/2L).

7) Odometer Disclosure

Dealer certifies vehicle mileage accuracy per the Truth in Odometer Act. Buyer acknowledges receipt of the separate odometer statement.

8) Truth in Lending & Retail Installment Disclosures

All financing terms, APR, and fees are disclosed in compliance with TILA and the Illinois Retail Installment Sales Act. Buyer receives copies of all signed finance documents.

9) Equal Credit Opportunity & Fair Lending

Dealer makes credit decisions without regard to race, color, religion, sex, marital status, national origin, age, receipt of public assistance, or any protected status under Reg B / ECOA.

10) Privacy, FTC Safeguards, and Data Security

Dealer protects personal information using reasonable administrative, technical, and physical safeguards per the FTC Safeguards Rule. See Privacy Policy for details.

11) Electronic Signatures & Records

Buyer consents to e-signatures and digital storage under the Federal E-SIGN Act and Illinois UETA. Electronic documents have the same force and effect as originals.

12) Recording, Monitoring & TCPA Consent

Buyer consents to monitored calls, video surveillance, and text/email communications for legitimate business purposes. Message/data rates may apply. Opt-out requests will be honored per law.

C. Financial Terms & Conditions

13) Pricing, Taxes & Documentation

Prices exclude tax, title, license, doc, and optional protection products. Dealer may correct clerical or posting errors without penalty.

14) Deposits, Holds & Non-Refundable Payments

Deposits apply toward purchase but are generally non-refundable. If Buyer fails to finalize within 7 days, Dealer may release the vehicle and retain the deposit for administrative cost.

15) Financing Approval & Conditional ("Spot") Delivery

Financing is subject to lender approval and funding. If financing fails for reasons not caused by Dealer, Buyer must return the vehicle immediately in equal or better condition and pay:

  • $1.00 per mile driven,
  • $200 processing/detailing fee,
  • Repair or reconditioning costs to restore saleable condition.

16) Payment Default & Repossession

Missed or late payments constitute default. Buyer remains liable for unpaid balances, interest, late fees, repossession, towing, storage, locksmith, and attorney's costs. Repossession does not cancel Buyer's obligation.

17) Returned Payments

Returned checks or chargebacks incur a $50 fee plus related collection costs added to Buyer's balance.

18) Trade-Ins & Negative Equity

Trade allowances depend on accurate disclosure. Undisclosed liens or damage authorize adjustment or rescission. Negative equity remains Buyer's responsibility unless financed and approved by lender.

19) Assignment of Contracts & Collection Rights

Dealer may assign or sell retail installment contracts or deficiency balances to lenders or agencies, which may enforce all rights under UCC Article 9.

D. Vehicle Status & Buyer Obligations

20) Vehicle Condition, Emissions & Safety

Buyer accepts the vehicle's condition as disclosed. Future emissions or safety compliance is Buyer's responsibility.

21) Delivery, Insurance & Risk of Loss

Risk of loss transfers at delivery. Buyer must maintain valid driver's license and full insurance continuously.

22) Damage, Incident Reporting & Mileage Limit

During conditional delivery, Buyer's mileage use is limited to 300 miles. All damage or accidents must be reported immediately. Unreported incidents are a material breach.

23) Vehicle Modifications

Any aftermarket alteration may void warranty or financing eligibility. Obtain written approval before modification.

24) Storage & Abandonment

Vehicles left more than three business days after completion or cancellation incur daily storage fees and may be deemed abandoned under law.

25) Buyer Representations & Fraud

Buyer warrants all information provided is true and accurate. False or misleading data constitutes fraud; Buyer is liable for resulting losses, fees, and damages.

26) Test-Drive Responsibility

Buyer/driver is responsible for citations, accidents, or damages during test drives or pre-purchase operation.

27) Return / Unwind Fees

If the vehicle must be returned due to finance denial or Buyer misrepresentation, Buyer shall pay $1 per mile driven, $200 detailing fee, and all reconditioning charges.

28) Buyer Insurance & Licensing

Buyer must maintain valid insurance and driver's license at all times. Failure to maintain either is a material default.

E. Dealer Rights & Remedies

29) Dealer Entitlement to Costs & Damages

Dealer may recover all reasonable costs, attorney's fees, collection expenses, interest on overdue balances, and depreciation losses.

30) Default Remedies (UCC Article 9)

Dealer/assignee may exercise all rights under UCC Article 9, including lawful repossession and sale of collateral.

31) Limitation of Liability

Dealer's total liability shall not exceed the purchase price actually paid. Dealer is not liable for incidental, consequential, or punitive damages.

32) Force Majeure

Dealer is not responsible for delays or failures caused by uncontrollable events such as natural disasters, strikes, or system outages.

33) Photo/Video Consent & GPS Authorization

Buyer consents to photo/video capture on premises for marketing, training, or security. Vehicles may include GPS or telematics for safety or recovery purposes.

34) Refund Policy

Approved refunds are paid by business check within ten business days; cash refunds are not issued.

F. Dispute Resolution & Buyer Acknowledgments

35) Binding Arbitration - BBB Auto Line

All disputes shall be resolved exclusively through binding arbitration administered by the BBB Auto Line in Lake County, Illinois. Class or representative actions are waived.

36) Attorney's Fees

The prevailing party in any arbitration or court action may recover reasonable attorney's fees and costs.

37) Multilingual Transactions / English Controls

Dealer may assist in other languages; however, the English version of all documents controls. Buyer waives any claim arising from translation discrepancies.

38) Acknowledgment & Waiver of Ambiguity

Buyer affirms full understanding of all clauses and waives any claim of ambiguity or misunderstanding.

39) Legal Capacity & Notices

Buyer represents legal capacity to contract. Notices sent to the last known physical or electronic address are deemed received upon dispatch.

40) Severability & Survival

If any provision is held invalid, the remainder remains enforceable. Obligations for payment, damages, and arbitration survive completion or termination of this sale.
